1. INTRODUCTION AND ACCEPTANCE

1.1 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and rentinit L.L.C-FZ, a Limited Liability Company organized under the laws of the United Arab Emirates, with its principal offices at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("rentinit", "we", "us", or "our"), concerning your access to and use of the rentinit platform and services (collectively, the "Platform").

1.2 Acceptance of Terms

By accessing or using the Platform, you agree that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1.3 Supplemental Terms

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

2. PLATFORM DESCRIPTION AND DISCLAIMERS

2.1 Nature of Services

rentinit provides a technology platform that facilitates rental property transactions, including but not limited to:

  • Document preparation and management services
  • Electronic signature facilitation
  • Identity verification services
  • Payment processing and escrow facilitation
  • Ejari registration automation
  • Tenant scoring services
  • Communication facilitation between parties

2.2 rentinit's Role

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • rentinit is NOT a party to any rental agreement between landlords and tenants
  • rentinit is NOT a real estate broker, agent, or agency
  • rentinit is NOT a property management company
  • rentinit is NOT a bank or financial institution
  • rentinit is NOT responsible for the actions, omissions, or obligations of any user
  • rentinit does NOT guarantee the accuracy, completeness, or reliability of any user-provided information
  • rentinit does NOT guarantee successful completion of any transaction

2.3 No Advisory Relationship

The Platform and Services are provided for informational and transactional purposes only. Nothing on the Platform constitutes legal, financial, or real estate advice. You should consult appropriate professionals for specific advice tailored to your situation.

3. USER REPRESENTATIONS AND WARRANTIES

By using the Platform, you represent and warrant that:

3.1 Legal Capacity and Authority

  • You are at least 18 years of age
  • You have full legal capacity to enter into these Terms
  • If acting on behalf of an entity, you have all necessary authority to bind such entity
  • Your use of the Platform will not violate any applicable law or regulation

3.2 Accurate Information

  • All registration information you submit is true, accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update such information as necessary
  • You have the legal right to provide all information and materials you submit

3.3 Account Security

  • You will maintain the security and confidentiality of your account credentials
  • You will immediately notify us of any unauthorized access to or use of your account
  • You accept responsibility for all activities that occur under your account

4. USER CATEGORIES AND SPECIFIC OBLIGATIONS

4.1 Tenant Users

Tenants using the Platform must:

  • Complete identity verification through UAE Pass or other approved methods
  • Be legal residents of the UAE with valid residency documentation
  • Provide accurate financial information when requested
  • Comply with all terms of their rental agreements
  • Not use the Platform to engage in fraudulent activities

4.2 Landlord Users

Landlords using the Platform must:

  • Have legal authority to rent the subject property
  • Provide accurate and complete property documentation
  • Ensure properties meet all applicable safety and regulatory standards
  • Enable and facilitate Ejari registration
  • Comply with all RERA regulations and requirements
  • Not discriminate against potential tenants in violation of applicable laws

4.3 Agent and Property Manager Users

Real estate agents and property managers must:

  • Maintain valid RERA registration throughout their use of the Platform
  • Complete our onboarding and training requirements
  • Act within the scope of their authority from property owners
  • Maintain appropriate professional liability insurance
  • VERIFY ALL DOCUMENTATION BEFORE SUBMISSION TO EJARI

4.4 Documentation Responsibility

THE PARTY SUBMITTING DOCUMENTATION FOR EJARI REGISTRATION BEARS FULL AND SOLE RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, AND LEGALITY OF ALL SUCH DOCUMENTATION:

  • Agents and property managers are fully responsible for verifying all documentation before submission
  • Self-managing landlords are fully responsible for their own document verification
  • While rentinit may perform certain verification processes, this does NOT transfer any liability to rentinit
  • Any errors, omissions, or issues arising from incorrect documentation are the sole responsibility of the submitting party
  • rentinit expressly disclaims all liability for document accuracy or Ejari approval

5. PROHIBITED USES

You may not access or use the Platform for any purpose other than that for which we make the Platform available. The Platform may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

5.1 Prohibited Activities

As a user of the Platform, you agree not to:

  • Systematically retrieve data or content to create a collection, compilation, database, or directory
  • Make any unauthorized use of the Platform
  • Circumvent, disable, or otherwise interfere with security-related features
  • Engage in unauthorized framing of or linking to the Platform
  • Trick, defraud, or mislead us or other users
  • Make improper use of our support services or submit false reports
  • Engage in any automated use of the system
  • Interfere with, disrupt, or create an undue burden on the Platform
  • Attempt to impersonate another user or person
  • Use any information obtained from the Platform to harass, abuse, or harm another person
  • Use the Platform in violation of any applicable laws or regulations
  • Upload or transmit viruses, Trojan horses, or other harmful material
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Discriminate against other users based on protected characteristics
  • Create duplicate or fraudulent accounts

5.2 Enforcement

We reserve the right, but not the obligation, to:

  • Monitor the Platform for violations of these Terms
  • Take appropriate legal action against anyone who violates these Terms
  • Remove or refuse to post any User Contributions for any or no reason
  • Terminate or suspend your access to all or part of the Platform for any or no reason

6. PAYMENT TERMS AND FINANCIAL PROVISIONS

6.1 Platform Fees

  • We reserve the right to charge fees for use of the Platform and Services
  • All applicable fees will be disclosed before you complete any transaction
  • Fees are exclusive of all taxes, levies, or duties
  • You are responsible for all applicable taxes

6.2 Payment Processing

  • All payments are processed through licensed financial institutions
  • We act solely as a facilitator and do not hold funds except through licensed partners
  • All transactions are subject to anti-money laundering and counter-terrorism financing screening
  • We may refuse or reverse any transaction that violates applicable laws or our policies

6.3 Escrow Services

  • Security deposits are held in escrow accounts with licensed financial institutions
  • Security deposits may be charged if used to lock a property but the transaction is not completed
  • Rent payments are disbursed only after successful Ejari activation
  • Disputes regarding escrow funds shall be resolved according to applicable law and the underlying rental agreement

6.4 Refund Policy

  • All fees paid to rentinit are non-refundable unless we determine otherwise in our sole discretion
  • Refunds, if any, will be processed within 30 business days
  • We are not responsible for any fees charged by your financial institution

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Platform Ownership

The Platform and its entire contents, features, and functionality are owned by rentinit, its licensors, or other providers of such material and are protected by UAE and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

7.3 User Content License

By submitting any content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

7.4 Feedback

Any feedback, comments, or suggestions you provide regarding the Platform shall become our exclusive property and may be used by us for any purpose without compensation to you.

8. PRIVACY AND DATA PROTECTION

8.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference.

8.2 Data Processing

By using the Platform, you consent to:

  • The collection and processing of your personal data as described in our Privacy Policy
  • The sharing of your data with government entities as required for service delivery
  • The use of automated decision-making systems for tenant scoring
  • International transfer of data where necessary

8.3 Data Security

While we implement industry-standard security measures, you acknowledge that no method of transmission over the Internet is 100% secure.

8.4 Automated Decision-Making and Tenant Scoring

The Platform uses automated decision-making systems, including algorithmic tenant scoring, to assess creditworthiness and rental eligibility. By using these Services, you acknowledge and agree that:

(a) Scoring Methodology:

Tenant scores are calculated using various data categories including but not limited to:

  • Financial history and banking data (with your consent)
  • Rental payment history
  • Identity verification status
  • Employment information
  • Previous landlord references

(b) Your Rights:

You have the right to:

  • Request information about the general categories of data used in scoring
  • Understand that scoring is probabilistic and not deterministic
  • Have incorrect input data corrected
  • Request human review of automated decisions that significantly affect you

(c) Limitations:

  • rentinit does not guarantee any specific score or outcome
  • Scores are recommendations only and do not constitute financial advice
  • Final rental decisions remain with landlords
  • Scoring algorithms are proprietary and confidential

(d) Data Usage:

By consenting to tenant scoring, you authorize rentinit to access and analyze the data categories listed above for the purpose of generating your score.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 "AS IS" AND "AS AVAILABLE" DISCLAIMER

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

9.2 No Warranty

WE DO NOT WARRANT THAT:

  • The Platform will function uninterrupted, securely, or be available at any particular time or location
  • Any errors or defects will be corrected
  • The Platform is free of viruses or other harmful components
  • The results of using the Platform will meet your requirements
  • Any user-submitted documents are accurate or complete
  • Ejari registration will be approved even if documents pass our verification
  • Any transaction will be successfully completed

9.3 LIMITATION OF LIABILITY

IN NO EVENT SHALL RENTINIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9.4 Exceptions

The limitations set forth in this section shall not apply to the extent prohibited by applicable law.

9.5 Third-Party Integrations

The Platform integrates with various third-party services including but not limited to UAE Pass, Ejari API, DocuSign, banking partners, and identity verification providers ("Third-Party Services"). YOU ACKNOWLEDGE AND AGREE THAT:

(a) rentinit has no control over the availability, functionality, or performance of Third-Party Services

(b) Any interruption, modification, or discontinuation of Third-Party Services may affect your ability to use certain features of the Platform

(c) rentinit is not responsible for any losses, damages, or inconvenience resulting from Third-Party Service failures, changes, or unavailability

(d) Your use of Third-Party Services is subject to their respective terms and conditions

(e) rentinit may modify, suspend, or discontinue any integration at any time without prior notice

(f) You assume all risk associated with the use of Third-Party Services accessed through the Platform

(g) rentinit makes no warranties or representations regarding Third-Party Services

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless rentinit, its subsidiaries, affiliates, licensors, service providers, officers, directors, employees, agents, successors and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Platform
  • Your violation of any term of these Terms
  • Your violation of any third party right, including without limitation any copyright, property, or privacy right
  • Your violation of any applicable law, rule, or regulation
  • Any claim or damage arising from content you submit or make available through the Platform
  • Your negligent or wrongful conduct

11. DISPUTE RESOLUTION

11.1 Informal Resolution

To expedite resolution and control the cost of disputes, you and rentinit agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any arbitration or court proceeding.

11.2 Binding Arbitration

If we cannot resolve a dispute through informal negotiation, all claims arising out of or relating to these Terms shall be finally settled by binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC).

11.3 Exceptions to Arbitration

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from courts of competent jurisdiction.

11.4 Class Action Waiver

YOU AND RENTINIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai.

11.6 Jurisdiction

Subject to the arbitration provisions above, you consent to the exclusive jurisdiction of the courts of Dubai, UAE.

12. TERM AND TERMINATION

12.1 Term

These Terms remain in full force and effect while you use the Platform.

12.2 Termination by You

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.

12.3 Termination by Us

We may immediately terminate or suspend your account and access to the Platform, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms.

12.4 Effect of Termination

Upon termination:

  • Your right to use the Platform will immediately cease
  • All provisions of these Terms which by their nature should survive termination shall survive
  • We may, but are not obligated to, delete your account and content

13. FORCE MAJEURE

rentinit shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from any cause beyond rentinit's reasonable control, including but not limited to:

  • Acts of God, natural disasters, fire, flood, earthquake, or other catastrophic events
  • Pandemic, epidemic, or public health emergencies
  • War, invasion, hostilities, terrorist acts, or civil unrest
  • Government actions, embargoes, sanctions, or changes in law
  • Labor disputes, strikes, or shortages
  • Failure of utilities, internet service providers, or telecommunications networks
  • Cyberattacks, system failures, or security breaches beyond our reasonable security measures

During any force majeure event, rentinit's obligations shall be suspended to the extent affected by such event. rentinit will use reasonable efforts to minimize the impact and resume normal operations as soon as practicable.

14. CONFIDENTIALITY

14.1 Definition of Confidential Information

"Confidential Information" means any non-public, proprietary, or confidential information disclosed by one party to the other party that:

(a) Is marked or identified as "confidential" or "proprietary"

(b) Would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure

(c) Includes but is not limited to: business plans, customer data, financial information, technical data, trade secrets, know-how, and proprietary algorithms

14.2 Exclusions

Confidential Information does not include information that:

(a) Is or becomes publicly available through no breach of these Terms

(b) Was rightfully known by the receiving party before disclosure

(c) Is independently developed without use of Confidential Information

(d) Is rightfully obtained from a third party without breach of any confidentiality obligation

(e) Is required to be disclosed by law or court order, provided the disclosing party provides prompt notice and cooperates in any effort to seek protective treatment

14.3 Obligations

Each party agrees to:

(a) Maintain the confidentiality of the other party's Confidential Information

(b) Not use Confidential Information except as necessary to perform under these Terms

(c) Not disclose Confidential Information to third parties without prior written consent

(d) Protect Confidential Information using at least the same degree of care used to protect its own confidential information, but no less than reasonable care

14.4 Permitted Use of Data

Notwithstanding the above, rentinit may use aggregated, anonymized data derived from your use of the Platform for:

(a) Improving our Services and algorithms

(b) General market analysis and reporting

(c) Compliance with regulatory requirements

(d) Creating industry benchmarks and insights

14.5 Survival

The obligations under this Section 14 shall survive termination of these Terms for a period of three (3) years, except for trade secrets which shall remain confidential indefinitely.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and rentinit regarding the use of the Platform.

15.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver by rentinit of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control.

15.6 Notices

All notices to rentinit shall be sent to contact@rentinit.ae. We may provide notices to you via the email address associated with your account.

15.7 No Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

BY USING THE RENTINIT PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL POLICIES AND GUIDELINES INCORPORATED BY REFERENCE.
